Terms of Service

1. Introduction and Acceptance

Welcome to FlashProxy. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and FlashProxy B.V., a company registered in the Netherlands ("FlashProxy", "we", "us", "our").

By creating an account, making a purchase, or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Service Description

FlashProxy provides proxy services including but not limited to residential proxies, datacenter proxies, ISP proxies, IPv6 proxies, and mobile proxies ("Services"). Our Services are digital services delivered electronically and activated immediately upon purchase.

3. Eligibility and Account Requirements

3.1 Age Requirement

You must be at least 18 years of age to use our Services. By using FlashProxy, you represent and warrant that you meet this requirement.

3.2 Business Use Declaration

Our Services are designed and intended for business and professional use. By purchasing our Services, you represent and warrant that you are acting in your professional or business capacity, or that you fully understand and accept the terms applicable to digital services as outlined in these Terms.

3.3 Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring that all information provided is accurate and current
• Notifying us immediately of any unauthorized use of your account

3.4 Identity Verification (KYC)

When KYC may be required:

FlashProxy reserves the right to request identity verification from any user at any time. KYC may be required in the following circumstances:

• New account registration (if flagged by our security systems)
• High-value transactions or unusual purchase patterns
• Suspicious account activity
• Chargeback or payment dispute filed against your account
• At FlashProxy's sole discretion to maintain platform security

Required documents:

When identity verification is requested, you must provide:

• Your full legal name
• Your current residential address
• Clear photographs of a valid government-issued photo ID (front and back). Accepted documents: passport, national identity card, or driver's license.
• A short selfie video of yourself holding the ID document next to your face

Documents must be submitted to contact@flashproxy.io with the subject line "KYC Verification - [Your Username or Account Email]".

Compliance timeline:

You must complete the KYC process within 7 business days of the request. Failure to comply within this period may result in:

• Temporary suspension of all active services
• Withholding of refunds or account balance payouts
• Permanent account termination

Fraudulent submissions:

Submitting fraudulent, altered, stolen, or otherwise invalid identity documents will result in immediate and permanent account termination without refund. FlashProxy reserves the right to report fraudulent submissions to relevant law enforcement authorities.

Data handling:

Your KYC documents are processed in accordance with our Privacy Policy. Please review our Privacy Policy (Section 2.6 and Section 7.5) for full details on how your identity documents are collected, stored, retained, and protected.

4. Purchases and Payment

4.1 Payment Processing

All purchases require valid payment information. By making a purchase, you:

• Represent that you have the legal right to use any payment method provided
• Authorize us to charge all fees incurred to your payment method
• Agree that all payment information provided is accurate and complete

4.2 Pricing

All prices are displayed in the applicable currency at checkout. We reserve the right to modify pricing at any time. Price changes will not affect orders already confirmed.

4.3 Third-Party Payment Processors

Payments are processed through third-party payment providers. Your use of these services is subject to their respective terms and privacy policies.

5. Immediate Performance and Waiver of Withdrawal Right

5.1 Nature of Digital Services

FlashProxy Services are digital services that are activated and delivered immediately upon successful payment. The Services begin performing instantly to provide you with immediate access to our proxy infrastructure.

5.2 Explicit Consent to Immediate Performance

BY COMPLETING YOUR PURCHASE, YOU EXPRESSLY:

1. Request and consent to the immediate performance and activation of the Services before the expiration of any applicable withdrawal period;
2. Acknowledge and agree that the Services will begin immediately upon successful payment;
3. Acknowledge and accept that by requesting immediate performance, you lose your right of withdrawal once the Services have been fully performed, or proportionally for Services partially performed;
4. Confirm that you have been informed of and understand this loss of the right of withdrawal.

5.3 Waiver Confirmation

This consent and acknowledgment is provided by you at the point of purchase through the checkout process. The act of completing your purchase constitutes your explicit agreement to immediate service activation and your acknowledgment of the loss of withdrawal rights as described above.

5.4 Legal Basis

This waiver is provided in accordance with Article 16(m) of EU Directive 2011/83/EU (Consumer Rights Directive) and its implementation in Dutch law (Burgerlijk Wetboek Book 6, Article 230p).

6. Refund Policy

6.1 General Policy — All Sales Final

Due to the immediate digital nature of our Services and your explicit consent to immediate performance as outlined in Section 5, all purchases of Services and all top-ups of account balance are final and non-refundable to the fullest extent permitted by applicable law.

6.2 Service Unavailability or Degradation — Sole Remedy

If the Services are materially unavailable or degraded during the term of an active plan due to issues attributable to FlashProxy, your sole and exclusive remedy is, at FlashProxy's sole discretion, one of the following:

• Service credits added to your account balance; or
• An extension of the affected plan's term (for time-based plans).

No cash refund is provided for service unavailability or degradation, except where a refund is mandated by applicable law. The determination of whether unavailability or degradation occurred, its duration and severity, and the appropriate form and amount of compensation, is made by FlashProxy in its sole discretion. To be considered for compensation:

• The issue must be documented and verifiable
• The issue must not result from your misuse, misconfiguration, or violation of these Terms
• The issue must not result from third-party services, your internet connection, or factors outside our control

6.3 Exclusions

No refunds, credits, or compensation will be provided for:

• Change of mind or failure to use the Services
• Incompatibility with your intended use case discovered after purchase
• Service interruptions caused by scheduled maintenance (with reasonable notice provided)
• Issues arising from your violation of these Terms or Acceptable Use Policy
• Suspension or termination of your account due to your breach of these Terms
• Third-party service failures or issues beyond our reasonable control
• Partial use of subscription allowances or credits
• Price reductions or promotions occurring after your purchase

6.4 Auto-Renewing Plans

Where you have enabled the Auto-Renewal Option for an eligible time-based plan (see Section 8), each renewal transaction is final and non-refundable once the renewed plan term begins. No refund or credit is provided for:

• Unused time remaining on a current plan term
• Failure to disable Auto-Renewal before a renewal is billed

You may disable Auto-Renewal at any time through your account dashboard. Disabling Auto-Renewal takes effect for future renewal cycles; any renewal that has already been billed is final and non-refundable.

6.5 Compensation Request Procedure

All compensation requests must be submitted via email to contact@flashproxy.io and must include:

• Your account email address
• Order/transaction reference number
• Detailed description of the issue with supporting evidence
• Date and time the issue was first observed

We will respond to compensation requests within 5 business days. Any compensation is issued at FlashProxy's sole discretion, and our decision on all compensation requests is final.

7. Payment Disputes and Chargebacks

7.1 Chargeback and Dispute Policy

If you initiate a chargeback, payment dispute, or reversal through your bank, card issuer, or payment provider for any transaction with FlashProxy, the following consequences will apply immediately and automatically:

1. All active services and plans on your account will be suspended;
2. Your account balance will be held and may not be available for use;
3. Your ability to make new purchases will be restricted;
4. Associated accounts may also be subject to restrictions.

These measures are applied as security precautions to protect against payment fraud and will remain in effect until the dispute is fully resolved to our satisfaction.

7.2 Dispute Resolution Before Chargeback

You agree to contact FlashProxy support at contact@flashproxy.io before initiating any chargeback or payment dispute. We are committed to resolving legitimate concerns quickly and fairly. Initiating a chargeback without first attempting to resolve the issue with us directly is considered a breach of these Terms.

7.3 Costs and Liability

You acknowledge that chargebacks and payment disputes impose significant costs on FlashProxy, including processing fees, investigation costs, and administrative expenses. You agree to indemnify FlashProxy for all costs associated with a chargeback that is determined to be unjustified or fraudulent.

7.4 Account Restoration

If a chargeback or dispute is resolved in FlashProxy's favor, or if you withdraw the dispute, account restoration is not automatic. You must contact support to request reactivation. FlashProxy reserves the right to decline reactivation at its sole discretion.

8. Auto-Renewal of Time-Based Plans

8.1 Eligibility and the Auto-Renewal Option

Certain Products are sold as time-based plans for a fixed duration of one (1), seven (7), thirty (30), sixty (60), or ninety (90) days. Where a Product is offered as a time-based plan, you may elect to enable automatic renewal of that plan (the "Auto-Renewal Option") through your account dashboard, where supported by the Product.

Auto-Renewal is available only for time-based plans. The following are not subject to Auto-Renewal and will not auto-renew, regardless of any setting in your account:

• Usage-based plans billed by data allowance (GB), which terminate on exhaustion or expiry of the allowance;
• The Unlimited Residential Product; and
• The Dedicated ISP Product.

8.2 How Auto-Renewal Works

Where the Auto-Renewal Option is enabled, on the expiry date of the current plan term we will automatically charge your designated payment method (or, where applicable, deduct from your account balance) for a new plan instance of the same Product, bandwidth cap, and duration as the expiring plan, at the then-current price for that combination. The new plan instance is governed by the version of these Terms and the relevant Product contract in force on the renewal date.

8.3 Disabling Auto-Renewal

You may disable Auto-Renewal at any time through your account dashboard. Disabling Auto-Renewal takes effect for future renewal cycles; any renewal that has already been billed is final and non-refundable, subject to Section 6. Where Auto-Renewal is not enabled, a time-based plan does not auto-renew and terminates automatically on expiry, and any unused time is forfeited and non-refundable.

8.4 Failed Renewal Payments and Price Changes

If a payment method fails on a renewal attempt, we may, at our discretion, deduct the renewal price from your account balance, retry the payment, or allow the plan to expire without renewal. We are not obliged to renew a plan where payment cannot be successfully collected. We may change the price applicable to renewals upon reasonable notice; price changes apply prospectively to renewals occurring on or after the effective date of the change.

9. Acceptable Use Policy

9.1 Prohibited Activities

You agree not to use our Services for any unlawful purpose or in violation of any applicable laws or regulations. Prohibited activities include, but are not limited to:

• Any illegal activities under applicable law
• Unauthorized access to computer systems or networks
• Distribution of malware, viruses, or harmful code
• Spam, phishing, or fraudulent activities
• Harassment, abuse, or threats toward any person
• Infringement of intellectual property rights
• Activities that exploit, harm, or attempt to harm minors
• Circumvention of security measures or access controls
• Interference with the proper functioning of any system or network
• Any activity that violates the terms of service of target websites or services
• Resale of Services without authorization
• Sharing account credentials with unauthorized parties

9.2 Compliance

You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations in your jurisdiction.

9.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, and we reserve the right to report illegal activities to appropriate authorities.

10. Service Availability and Modifications

10.1 Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Services are provided on an "as available" basis.

10.2 Maintenance

We may perform scheduled or emergency maintenance that temporarily affects service availability. We will provide reasonable notice of scheduled maintenance when possible.

10.3 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of Services.

11. Intellectual Property

11.1 Our Property

All content, features, functionality, trademarks, and intellectual property associated with FlashProxy are owned by FlashProxy B.V. or its licensors and are protected by applicable intellectual property laws.

11.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

11.3 Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on our Services or any content therein without our express written permission.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
• ANY ERRORS IN THE SERVICES WILL BE CORRECTED

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLASHPROXY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, OR BUSINESS
• LOSS OF DATA OR DATA BREACH
• BUSINESS INTERRUPTION
• LOSS OF GOODWILL OR REPUTATION

13.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FLASHPROXY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13.3 Essential Purpose

THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless FlashProxy, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Any content or data you transmit through the Services

15. Account Termination

15.1 Termination by You

You may close your account at any time by contacting support. Account closure does not entitle you to any refund of fees paid.

15.2 Termination by FlashProxy

We may suspend or terminate your account immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• You engage in prohibited activities
• We are required to do so by law
• We discontinue the Services
• We detect activity associated with payment fraud, chargeback abuse, or use of multiple accounts to circumvent restrictions
• For any other reason at our sole discretion

15.3 Effect of Termination

Upon termination:

• Your right to access the Services ceases immediately
• No refunds will be provided for unused Services or remaining subscription periods
• Provisions that by their nature should survive termination shall survive

16. Communications

By using our Services, you consent to receive electronic communications from us, including service announcements, administrative messages, and promotional materials. You may opt out of promotional communications via the unsubscribe link provided or by contacting us at contact@flashproxy.io.

17. Third-Party Links and Services

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. Your use of third-party services is at your own risk.

18. Governing Law and Jurisdiction

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

18.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.

18.3 Consumer Rights

Nothing in these Terms affects any mandatory consumer protection rights that cannot be waived or limited by contract under applicable law.

19. Dispute Resolution

19.1 Informal Resolution

Before initiating any formal proceedings, you agree to first contact us at contact@flashproxy.io to attempt to resolve any dispute informally. We will endeavor to resolve complaints within 30 days.

19.2 EU Online Dispute Resolution

For customers in the European Union: The European Commission provides an online dispute resolution platform at EU Online Dispute Resolution platform. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

21. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FlashProxy regarding the Services and supersede all prior agreements and understandings.

23. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

24. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

25. Force Majeure

FlashProxy shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
